PropWise Terms of Service

PropWise, LLC, an Indiana limited liability company (“PropWise,” “we,” “us,” or “our”), operates the Service. These Terms of Service (“Terms”) govern your access to and use of the PropWise™ website located at www.gopropwise.com (the “Site”) and the PropWise web application and related services collectively referred to as the “Service.”

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Eligibility

The Service is intended solely for licensed real estate professionals and authorized brokerage personnel. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You are legally able to enter into binding contracts
• You are using the Service for legitimate business purposes

PropWise reserves the right to restrict or terminate access at its discretion.

2. Description of Service

PropWise provides an AI-powered inspection organization and workflow platform designed to assist real estate professionals with:

• Inspection report parsing and organization
• Defect categorization
• Severity classification
• ZIP-based repair cost context
• Local vendor options for quote outreach
• Compliance-aware language generation
• Home Confidence Plan™ generation

PropWise is an advisory software tool. It does not provide legal advice, contractor services, inspection services, brokerage services, or fiduciary services.

3. Advisory and No Legal Advice Disclaimer

PropWise does not provide legal advice.

The Service does not replace:

• Licensed legal counsel
• Licensed contractors
• Professional inspectors
• Brokerage compliance review

All AI-generated content, cost estimates, and vendor options are provided for informational purposes only and must be independently reviewed and verified.

Users remain solely responsible for all negotiations, representations, and transaction decisions.

4. Vendor Options Disclaimer

Vendor options are generated based on publicly available data and algorithmic matching.

PropWise:

• Does not guarantee vendor quality
• Does not verify licensing status
• Does not vet, endorse, recommend, or guarantee vendors
• Is not responsible for vendor performance

Users must independently evaluate and verify all vendors.

5. Repair Cost Estimates Disclaimer

Repair cost outputs are contextual models based on ZIP-level data and generalized labor and material assumptions.

They are not binding quotes.

Actual repair costs may vary significantly. Users must obtain independent contractor estimates before relying on any cost projections.

6. Account Registration and Security

Users must:

• Provide accurate registration information
• Maintain password confidentiality
• Notify PropWise of unauthorized access

PropWise is not liable for damages arising from compromised credentials.

7. Subscription and Payment Terms

Account creation is free. Paid inspection processing is available through subscriptions and standalone inspection-run purchases, subject to the plan and checkout terms presented when you purchase. You agree to pay the applicable fees and taxes disclosed at checkout.

Paddle acts as merchant of record for purchases processed through its checkout. Those transactions are also governed by the Paddle Buyer Terms. PropWise provides the software; Paddle handles the sale and payment processing.

Subscriptions automatically renew at the billing interval shown at checkout until canceled. You can cancel through the Paddle buyer portal linked in your subscription confirmation email or request cancellation through Paddle support. You may also contact PropWise for assistance. Cancellation takes effect at the end of the current billing period and prevents subsequent renewal charges. It does not itself refund the current billing period.

Standalone inspection runs and credit packages do not automatically renew. Purchased credits expire 12 months from the individual purchase date unless different terms were expressly provided when issued. Purchased credits are used after the inspection runs included with an active subscription have been exhausted. Included subscription allowances are governed by the applicable plan terms; the purchased-credit expiration rule does not define their rollover or reset treatment.

Refunds, duplicate charges, and technical delivery failures are governed by our Refund Policy, applicable Paddle terms, and rights that cannot be waived under applicable law. PropWise reserves the right to modify pricing upon notice. Failure to pay may result in suspension or termination.

8. No “Unlimited” Usage

All plans are subject to usage limits, including but not limited to:

• Upload limits
• AI processing limits
• Scope generation limits
• Vendor matching limits

Usage beyond plan limits may require an upgrade or additional fees.

9. Intellectual Property

PropWise owns or licenses the Service software, proprietary workflows, platform databases, site content, and AI prompts. This does not transfer ownership of your uploaded reports or other third-party materials to PropWise.

Users may not:

• Reverse engineer the Service
• Copy or reproduce proprietary workflows
• Create derivative competing products
• Resell access without authorization

You retain any rights you hold in uploaded reports and documents. You represent that you have the permissions and lawful authority needed to upload them, authorize processing, and share resulting material. Upload only information you are authorized to provide, including information about clients and other individuals.

You grant PropWise a limited, non-exclusive authorization to host, copy, transmit to service providers, and process uploaded materials as necessary to deliver the requested Service, maintain security, and meet legal obligations, as described in the Privacy Policy. This authorization does not give PropWise ownership of those materials.

You may use generated results in your authorized professional workflow and share them with clients, brokerage personnel, and relevant professionals where you have permission to disclose the underlying information. Review outputs before sharing, respect third-party rights, and avoid exposing information beyond the intended recipient. This permission does not authorize resale of platform access or copying proprietary software. AI-generated material may not qualify for exclusive intellectual-property protection.

10. Acceptable Use

You agree not to:

• Upload unlawful or fraudulent content
• Use the Service for harassment or malicious conduct
• Attempt to bypass security measures
• Overload or disrupt system infrastructure

Violation may result in immediate termination.

11. Experimental Features

PropWise may release experimental features.

These are provided “AS IS” without warranties and may be modified or discontinued at any time.

12. Third-Party Services

The Service integrates with third-party providers including but not limited to:

• Payment processors
• Cloud hosting providers
• Email service providers
• Vendor data APIs

PropWise is not responsible for third-party service interruptions or policies.

13. Data and Privacy

Use of the Service is subject to the PropWise Privacy Policy.

Users acknowledge that inspection reports may contain personal or sensitive information and consent to processing necessary to deliver the Service.

14. Limitation of Liability

To the fullest extent permitted by law:

• PropWise shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• Total aggregate liability shall not exceed the amount paid by the user in the six months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless PropWise and its affiliates from any claims arising out of:

• Your misuse of the Service
• Your reliance on AI outputs
• Vendor disputes
• Transaction disputes

16. Termination

PropWise may suspend or terminate access at any time for violation of these Terms.

Upon termination:

• Access ceases
• License rights terminate
• Data retention is governed by the Privacy Policy

17. Governing Law

These Terms are governed by the laws of the State of Indiana.

Disputes between you and PropWise concerning the Service shall be resolved in courts located in Indiana, subject to any non-waivable rights under applicable law. This provision does not replace the dispute terms governing your separate transaction with Paddle.

18. Modifications

PropWise may update these Terms at any time.

Continued use after updates constitutes acceptance.

19. Entire Agreement

These Terms constitute the entire agreement between the user and PropWise concerning use of the Service.
